Terms of Service

These Terms of Service ("Terms") govern your access to and use of the Doorstep One platform, including our web application, mobile application, and website at doorstep.one (collectively, the "Service"), provided by Doorstep One, Inc. ("Doorstep One," "we," "us," or "our"). By accessing or using the Service, you agree to be bound by these Terms.

1. Acceptance of Terms

By creating an account, accessing, or using the Service, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you are using the Service on behalf of an organization, you represent that you have the authority to bind that organization to these Terms.

2. Description of Service

Doorstep One provides a software-as-a-service (SaaS) platform for managing doorstep valet trash operations. The Service includes:

  • Route management and assignment tools for organizing nightly trash collection
  • A mobile application ("Porter App") for field workers to execute routes with GPS tracking and photo documentation
  • Automated reporting and analytics for operational oversight
  • Workforce scheduling and management tools
  • Violation tracking and documentation
  • Property management system (PMS) integrations

3. Account Registration and Security

3.1 Account Creation

To access certain features of the Service, you must register for an account. You may be invited to create an account by your employer or organization administrator. You agree to provide accurate, current, and complete information during registration and to update such information to keep it accurate, current, and complete.

3.2 Account Security

You are responsible for safeguarding your password and for all activities that occur under your account. You agree to notify us immediately of any unauthorized access to or use of your account.

3.3 Account Types

The Service supports multiple user roles, including organization owners, administrators, supervisors, porters, and property managers. Your access to features is determined by your assigned role and the permissions granted by your organization.

4. Subscription and Payment

4.1 Subscription Plans

Access to the Service requires a paid subscription by the subscribing organization. Subscription plans, pricing, and features are described on our website or in a separate order form or service agreement.

4.2 Billing

Subscription fees are billed in advance on a monthly or annual basis as agreed upon at the time of purchase. All fees are non-refundable except as expressly stated in a separate agreement.

4.3 Changes to Pricing

We reserve the right to modify our pricing with 30 days' advance notice. Changes will take effect at the start of the next billing cycle following the notice period.

5. Acceptable Use

You agree not to:

  • Use the Service for any purpose other than managing valet trash or related waste collection operations
  • Attempt to access any other user's account or data without authorization
  • Interfere with or disrupt the Service or servers connected to the Service
  • Reverse-engineer, decompile, or disassemble any aspect of the Service
  • Use the Service to transmit harmful, offensive, or illegal content
  • Share your account credentials with unauthorized individuals
  • Use automated means to access the Service without our prior written consent

6. Data Ownership and License

6.1 Your Data

You retain ownership of all data you submit to the Service ("Your Data"), including route information, photos, employee records, and property data. You grant us a limited, non-exclusive license to use, store, and process Your Data solely to provide and improve the Service.

6.2 Our Intellectual Property

The Service, including its software, design, features, and content, is owned by Doorstep One and is protected by intellectual property laws. Your subscription grants you a limited, non-exclusive, non-transferable right to access and use the Service during your subscription term.

6.3 Aggregate Data

We may use anonymized, aggregated data derived from your use of the Service for analytics, benchmarking, and service improvement. Such aggregate data will not identify you or your organization.

7. Location Data and Privacy

The Porter App collects precise location data during active route execution to verify service coverage. By using the Porter App, you consent to the collection of your location data as described in our Privacy Policy. Location tracking is active only during route execution and stops automatically when a route is completed.

8. Service Availability

We strive to maintain high availability of the Service but do not guarantee uninterrupted access. We may occasionally perform scheduled maintenance, which we will communicate in advance when possible. We are not liable for any downtime, data loss, or service interruptions caused by circumstances beyond our reasonable control.

9. Termination

9.1 By the Organization

Organization administrators may terminate their subscription at any time by contacting us. Termination will take effect at the end of the current billing period.

9.2 By Us

We may suspend or terminate your access to the Service if you violate these Terms, fail to pay subscription fees, or if we reasonably believe your use poses a security risk. We will provide notice before termination when practicable.

9.3 Individual Accounts

Individual user accounts are created and managed by your employer or organization administrator. Account access may be revoked by your organization at any time. Individual users cannot independently delete their accounts.

9.4 Effect of Termination

Upon termination of an organization's subscription, the organization's right to access the Service will cease. Organization data will be handled in accordance with the terms of the applicable contract.

10. Limitation of Liability

To the maximum extent permitted by applicable law, Doorstep One shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or business opportunities, arising out of or related to your use of the Service. Our total liability for any claims arising under these Terms shall not exceed the total amount paid by you to us in the twelve (12) months preceding the claim.

11. Disclaimer of Warranties

The Service is provided "as is" and "as available" without warranties of any kind, either express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

12. Indemnification

You agree to indemnify and hold harmless Doorstep One, its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including reasonable attorneys' fees) arising from your use of the Service or violation of these Terms.

13. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of law provisions. Any disputes arising under these Terms shall be resolved in the state or federal courts located in Delaware.

14. Changes to These Terms

We reserve the right to modify these Terms at any time. We will notify you of material changes by email or through the Service at least 30 days before the changes take effect. Your continued use of the Service after the effective date constitutes acceptance of the updated Terms.
